Learning Objectives

  • Identify various types of business associations including partnerships, provincial and federal incorporations, sole proprietorships and LLPs
  • Understand the advantages and disadvantages of each type of business association
  • Discuss the process of incorporation, including the documents required to be prepared and filed
  • Determine the duties of directors and officers of a corporation and understand concepts of ostensible authority, fiduciary duty and minority shareholder rights
  • Understand shareholder agreements and how IP rights and other issues can be dealt with between shareholders
  • Identify tax and financing issues relating to various types of business associations
  • Understand various methods of transferring IP rights in a corporate context and issues that may arise
